HINGHAM, Mass.,Jan. 07, 2025(GLOBE NEWSWIRE) --Microbot Medical Inc.(Nasdaq: MBOT) today announced the closing of its previously announced registered direct offering priced at-the-market under Nasdaq rules for the purchase and sale of 4,000,001 shares of the Company’s common stock at a purchase price of$1.75per share of common stock in a registered direct offering priced at-the-market under Nasdaq rules. In addition, in a concurrent private placement, the Company issued unregistered short-term series G preferred investment options. The short-term series G preferred investment options to purchase up to 8,000,002 shares of common stock have an exercise price of$1.75per share and are immediately exercisable following issuance for a period of two years thereafter.

H.C. Wainwright & Co.acted as the exclusive placement agent for the offerings.

The gross proceeds to the Company from the registered direct offering and concurrent private placement were approximately$7 million, before deducting the placement agent’s fees and other offering expenses payable by the Company. The total gross proceeds to the Company from the offerings and the previously announced at-the-market facility, with gross proceeds of approximately$4.8 millionraised throughJanuary 2025, in each case, prior to deducting agent fees and offering expenses payable by the Company, were approximately$11.8 million.
